Saas Master Services Agreement

17.2 Full agreement. This agreement represents the entire agreement and replaces all previous agreements between you and Zendesk regarding the purpose of this contract. This Agreement applies in place of the terms of an order or other market documents that you or any entity you represent (all of these conditions are null and void) and, if expressly stated, there are no other agreements, assurances, guarantees or obligations that any of the parties may avail themselves of with respect to the purpose of this Agreement. There is no oral commitment, conditions, submissions, agreements, interpretations or conditions of any kind between the parties, unless expressly provided for. The titles used in this document are merely simple and do not affect the interpretation of the terms of this agreement. Where an applicable order form includes the provision of certain professional services (which generally include implementation, service use training or output production assistance (as defined below), these services are provided in accordance with the work statement to be attached to the order form (“SOW”). 7.5 Subprocessors. You recognize and accept that Zendesk can use subprocessors that can access service data to provide, secure and improve services. We are responsible for the actions and omissions of Zendesk staff and subprocessors to the extent that we would be responsible if Zendesk provides the services of any Zendesk staff or subprocessor directly under the terms of this agreement. The names and locations of all current subcontractors used for the processing of personal data under this contract are defined in the Subcontracting Directive in the policies and procedures of Zendesk`s website.

Each order form signed by the customer enters into a separate agreement that contains these Master SaaS terms, as well as addendums, subscription terms of service for each subscription and guidelines (our contract). 1.4 Additional features. We will inform you of additional conditions and/or alternative agreements before activating additional features. The activation of additional functions by you in your account is considered to be the acceptance of the applicable additional conditions or other agreements, if any. In addition, WalkMe processes: (a) the email addresses of customer staff authorized to produce expenses (i.e. WalkMe Editor Admins); and (b) if the customer or end-user contacts WalkMe in conjunction with customer service. (c) “customer” or “customer group” since this term is defined in the contract to which this exhibition A is attached; “Built by Zendesk Marketplace Applications” refers to integrations and applications created or developed by Zendesk or its related companies and made available in the Zendesk Marketplace (available at www.zendesk.com/apps) and which are governed by this Contract, unless Zendesk provides you with another agreement at the time of your availability or access to integration or application. If you own or manage a company that licenses or provides application software to its customers, you need a software license agreement or as-a-service software.
